Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of DISTROPAL's websites, web applications, and mobile applications (the "Services"). By accessing or using the Services, you agree to these Terms on behalf of yourself or the organization you represent.

If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

DISTROPAL provides cloud software for distribution and related business operations, including features your subscription or plan may include (such as inventory, sales, purchases, accounting-related views, notifications, and integrations). We may modify, add, or discontinue features with reasonable notice where appropriate.

• You must provide accurate registration information and keep it up to date.
• You are responsible for safeguarding passwords and for activity under your account. Notify us promptly of unauthorized use.
• Administrators of your organization may create, manage, or revoke user access according to product capabilities.

You agree not to:

• Violate applicable laws or regulations, including tax and export laws
• Interfere with or disrupt the Services, servers, or networks; attempt unauthorized access to systems or data
• Use the Services to transmit malware, spam, or unlawful or infringing content
• Reverse engineer, scrape, or attempt to extract source code except where law permits
• Use the Services in a way that could harm DISTROPAL, other users, or third parties

You retain rights to data you submit to the Services ("Customer Data"). You grant DISTROPAL a worldwide license to host, process, transmit, and display Customer Data only as needed to provide and improve the Services, secure our systems, and comply with law. You are responsible for the legality of Customer Data and for obtaining any consents or rights needed from data subjects (such as your customers or employees).

Paid plans, invoicing, taxes, and renewal terms are described at purchase or in your order. If you use a trial or free tier, we may change or end it with notice where required. Failure to pay applicable fees may result in suspension or termination of access.

DISTROPAL and its licensors own the Services, including software, branding, documentation, and underlying technology. Except for the limited rights expressly granted to use the Services, no rights are transferred to you. Feedback you provide may be used by us without obligation to you.

The Services may integrate with third-party products or data sources (including government or GST-related services where applicable). Those services are subject to their own terms and availability. DISTROPAL is not responsible for third-party acts or outages beyond our reasonable control.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTROPAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTROPAL AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DISTROPAL FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) INR 5,000, UNLESS APPLICABLE LAW REQUIRES OTHERWISE.

You will defend and indemnify DISTROPAL against claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your Customer Data, or your violation of these Terms or applicable law, except to the extent caused by DISTROPAL's willful misconduct.

We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive termination.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts located in India shall have exclusive jurisdiction, subject to any mandatory rights you may have under local consumer laws.

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
